从今年的11月开始，所有的公司董事（Director）都需要按照最新规定，即Corporations Director Identification Number Data Standard 2021 ，向联邦商业登记管理处（Australian Business Registry Service）申请公司董事身份识别号码（Director ID）。此外，与Director ID相关的违法行为已被写入了澳大利亚《公司法》，并由澳大利亚证券和投资委员 (ASIC)对其进行监管与执行。
董事身份识别号码规定的出台旨在打击相关机构或者个人的非法经营（“凤凰重生”）活动。所谓的“凤凰重生”是指公司董事故意将其公司进行破产清算或者低价出售，进而达到转移旧公司资产来成立新公司并继续经营旧公司的业务，避免偿还旧公司债务的目的的行为。此外，公司董事身份识别号码的规定还旨在避免无法确认公司董事身份，公司董事信息重复注册，或者公司董事信息不可追踪的情况，从而降低由此带来的行政资源浪费。
什么是Director ID?
Director ID其实是一串用来识别公司董事的身份的独一无二的号码。 类似于我们的驾照或者护照号码。通过这一号码，ABRS或ASIC可以轻松追踪到一个公司董事是否更换了公司，是否不再担任公司董事，是否变更了其名字，甚至是否有进行州际或国际旅行。 按照现行规定，Director ID一经申请便会一直跟随公司董事。
何时申请Director ID?
按照现行法律规定，从今年11月开始，无论是新上任或者是已在任的公司董事，都需要在规定的时间期限内申请其Director ID：
值得注意的是，按照新的规定，各公司的董事应按时注册其Director ID。如果公司董事在2022 年11月30日之前未能按时递交申请，或者有意提交虚假材料，或者注册多个Director ID，相关机构可以根据具体情况向该公司董事发出警告通知，严重情况下，该公司董事可能面临刑事或民事处罚。
